These Terms & Conditions ("Terms") govern your rights and obligations when using the Interview Day website, software, services, and other offerings (collectively, "Services"). These Terms, along with our Privacy Policy, form a binding agreement between you ("you" or "user") and Interview Day ("we," "us," or "our").

1. Acceptance of Terms

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use our Services. We may revise these Terms at our discretion, and the updated Terms will take effect when posted on our website. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

2. Privacy

Our Privacy Policy, outlines how we collect, use, and share your information, including Personal Information, when you use our Services.

3. User Account Registration

While a User Account is not required to access the Services, certain features or content may be restricted to registered users. If you create a User Account, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your account, including your password.
  • Notify us immediately of any unauthorized use or security breach of your account.
  • Be responsible for all activities under your account.

  • Posting or distributing copyrighted material, trademarks, or proprietary information without permission.
  • Disrupting or interfering with the Services, servers, or networks.
  • Modifying, copying, reverse engineering, or disassembling any part of the Services or related software.
5. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services at our discretion if:

  • Required by a valid subpoena, court order, or government authority.
  • We suspect you are engaging in prohibited activities outlined in Section 4.
  • Your use is subject to litigation, investigation, or government proceedings, or we perceive a risk of non-compliance.
  • Our service partners are unable to support your use.
  • You attempt to circumvent our controls or safeguards.
  • You breach these Terms.

We will notify you of such actions unless prohibited by a court order or legal process. You acknowledge that our decisions may rely on confidential risk management or security protocols, which we are not obligated to disclose.

6. Intellectual Property

All content on the Services, including photos, videos, images, text, design, and layout ("Content"), is protected by copyright and owned by us or our licensors. You are granted a limited, non-exclusive right to use the Services, but you may not:

  • Reproduce, distribute, modify, or create derivative works of the Content.
  • Use illustrations, photos, or videos separately from accompanying text.
  • Remove or alter copyright, trademark, or proprietary notices.
  • Upload content that violates third-party intellectual property rights.

By submitting material to us through the Services, email, or other means, you grant us a non-exclusive, royalty-free, perpetual license to use, reproduce, modify, and distribute such material for any purpose, except for your Personal Information, which is governed by our Privacy Policy.

7. Subscriptions

Subscriptions to our Services continue and renew automatically until canceled. You must provide a valid Payment Method and have internet access and supported software to use the Services. Subscription fees are non-refundable, and no refunds will be provided after payment, regardless of cancellation or termination. We may adjust subscription plans or pricing, with at least one month's notice before changes take effect. You may cancel your subscription before the price change takes effect to avoid the new fees.

8. Limitation of Liability

We will not be liable for any indirect, consequential, special, incidental, or punitive damages arising from or related to these Terms, your use of the Services, or your inability to access or use the Services, even if we have been advised of the possibility of such damages. This includes, but is not limited to, damages for loss of profits, business interruption, personal injury, or loss of privacy.

9. Indemnity

You agree to indemnify, defend, and hold harmless Interview Day and its affiliates, employees, officers, directors, contractors, and agents from any claims, damages, or liabilities arising from your use or misuse of the Services, violation of these Terms, or violation of third-party rights. You will promptly notify us of any claims and cooperate fully in defending them. We reserve the right to control the defense or settlement of any third-party claims.

10. Early Stage Service

Our Services are in early development and may experience stability issues or intermittent downtime. We strive to improve stability and functionality but cannot guarantee uninterrupted service. The Services and all content are provided "as is," "with all faults," and "as available," with no warranties, express or implied, including for merchantability, fitness for a particular purpose, accuracy, or uninterrupted access.

11. Dispute Resolution
a. Governing Law and Jurisdiction

These Terms are governed by the laws of the USA. You agree to submit to the personal jurisdiction of the federal and state courts for any actions where we seek injunctive or equitable relief.

b. Notice of Dispute

If you have a potential legal dispute, you must first contact us, describing the dispute and providing relevant documentation. You agree to negotiate in good faith to resolve the dispute within 60 days. Unresolved disputes will be handled per the arbitration provisions below.

c. Mandatory Binding Arbitration

All disputes arising from or related to these Terms will be resolved through confidential, binding arbitration by a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association. The arbitrator’s decision is final and binding, with no right to appeal except as allowed by law. You waive any right to pursue disputes in court, except for our right to seek injunctive relief.

d. Waiver of Jury Trial

You waive any right to a jury trial in any legal proceeding related to these Terms, acknowledging that arbitration has no judge or jury, may have higher costs, limited discovery, and limited court review.

e. Confidentiality of Arbitration

Arbitration proceedings and related materials are confidential, except as required to enforce rights or by law.

f. No Class Actions

Disputes must be brought in your individual capacity, not as a class action. If the class action waiver is deemed unenforceable, the arbitration provision will be void for those disputes, and they will be resolved courts.

12. External Links

The Services may contain links to third-party websites or applications. We are not responsible for their content, terms, or privacy policies. You use these linked websites at your own risk, and we do not endorse or warrant them.

13. Assignment

You may not transfer or assign these Terms or any rights granted hereunder. We may assign them without restriction. Any attempted transfer by you is null and void.

14. Severability

If any provision of these Terms is deemed invalid by a court, the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, along with any amendments or additional agreements, constitute the entire agreement between you and us regarding the Services.

16. Waivers

No waiver of any term will be deemed a continuing waiver, and our failure to assert any right does not waive that right.
